Terms and Conditions 

Order Placement 

To ensure accuracy when placing orders, please have your customer number or telephone number available. Specify products by product number, pattern name and color.

Pricing 

Prices are subject to change without notice. All prices are quoted in US Dollars and exclude taxes, duties, shipping, and handling, and other charges unless otherwise stated. Momentum Textiles and Wallcovering (“Momentum”) reserves the right to discontinue any pattern or color without prior notice.  

Payment Terms 

Regular terms are Net 30 days from date of invoice. All invoices are dated the day of shipment. To establish terms, you are required to provide the names and addresses of five trade references, your company bank account information, your resale number, and a signed credit application. If terms have not been established, orders will be handled on a Proforma basis. 

Shipping 

Shipping and delivery dates are estimates only, and in no event shall Momentum be liable for any delay in delivery or assume any liability in connection with shipment. All Products shall be delivered F.O.B. Momentum’s place of shipment.  

Conditions of Sale 

Buyer should carefully examine material before cutting to verify correct color and pattern.  

Color Variation and Matching 

Variations in color cannot be avoided as dye lots often vary. If an exact color match is required, a cutting for approval must be requested when an order is placed. We cannot be held responsible for color variations beyond a reasonable commercial match. We are not responsible for changes in fabric or color which are due to flame-proofing chemical processes requested by the Buyer. 

Overages 

On full piece/roll or large quantity orders, every effort will be made to ship as closely as possible to the required yardage. However, there may be up to 10% overage. This is an industry standard.  

Wallcovering 

Momentum includes an installation instruction and care sheet with each roll of wallcovering sold. If the installation and care sheet does not accompany any wallcovering sold by or for Momentum, contact Momentum before installation commences. After three strips of wallcovering are installed, inspect the wallcovering. If the pattern effect is not acceptable, or if there is variation in color, discontinue hanging and contact Momentum immediately. Momentum will not be responsible for labor beyond three strips. Defective material will be replaced. 

 

Pattern Repeat Advisory 

Pattern repeats will vary slightly. Those shown on this website and in our sample books are approximate only. To avoid possible shortages, allowances should be made whenever a pattern repeat is involved. 

Returns 

Momentum sells a variety of products and return policies for each category will vary. Certain products are sold on a non-returnable basis. All requests for returns must be made by contacting Inside Sales at 1-800-366-6839 or [email protected] within 30 days of invoice date. A Return Authorization (RA) number must be obtained prior to any return of product. Restocking charges shall apply to all approved returns, up to 35%. Buyer will have thirty (30) days to return material from the date of written return authorization. For wallcovering products, only full, uncut rolls in original factory wrapping will be accepted, if return is authorized.

Products that have been phased-out, discontinued or products treated with any special or supplemental finishes such as flame proofing, custom backing, vinyl, or stain-repellent finishes, microventing, etc., cannot be returned. Customs cannot be returned. 

Order Changes and Cancellations 

Non-Cancelable Products: Certain products are sold on a non-cancelable basis. 

Made-to-Order Products: Much of our product is made-to-order. To ensure your order ships in a timely manner, we begin procuring supplies and producing your order as soon as it is received. 

Changes or Cancellations: 

  1. Changes or cancellations can be requested; however, we are not able to change or cancel an order once it is in production. 

  2. For orders that are not yet in production and/or large orders, the Buyer will be responsible for any inventory that has been specifically produced for that order or acquired to replace inventory committed to that order. This includes any materials or products that cannot be reallocated or resold within a reasonable timeframe. 

  3. Additionally, Momentum reserves the right to charge a restocking fee determined on a case-by-case basis for changes or cancellations of large orders to cover the costs of tied-up inventory and administrative handling.

Products that have been phased-out, discontinued or products treated with any special or supplemental finishes such as flame proofing, custom backing, vinyl, or stain-repellent finishes, microventing, etc., cannot be cancelled. Customs cannot be cancelled. 

 

 

Momentum Hospitality Policies 

Because Momentum Hospitality yardage is woven to order: 

  • Large orders must be ordered in full roll increments. 

  • Orders are subject to a 10% variance. 

  • Cancellations or Returns are not accepted. 

Product Warranties 

General Warranty 

Warranty coverage is subject to the condition that all Momentum instructions for installation and care are followed. No warranty claim will be allowed by Momentum with respect to any product purchased for further processing unless Momentum is notified of any alleged defect within 30 days after delivery to Buyer and Momentum is provided with reasonable opportunity to examine the product before its use or further processing. This warranty is subject to the further conditions that Buyer notifies Momentum immediately in the event any product at any time demonstrates any defect in materials or workmanship. 

Warranty coverage does not include any defect or performance deficiency which is the direct or indirect result, in whole or in part, of accident, abuse, misuse, vandalism, or other damage or alteration of the product(s) by persons other than Momentum employees, combining incompatible products, use of incompatible products, use of incompatible materials, accessories or supplies, fires, floods and other similar and dissimilar natural causes, damage, neglect, alteration, or any impairment of the product(s) resulting from causes or conditions not associated with ordinary storage, handling, installation, maintenance, service, or use, or any acts, omissions, causes, or events beyond the control of Momentum. Furthermore, warranty coverage does not extend to any defect in the product(s) caused by (a) storage, handling, installing or processing the product(s) under environmental conditions exceeding those recommended by Momentum  or generally accepted by industry for the product(s), or (b) any storage, handling, manufacturing, installation or fabrication process used by Buyer involving the product(s), or (c) any failure to install or maintain the products in accordance with Momentum  instructions or recommendations or any generally accepted industry standards or practices for installation or use of wallcovering products, accessories, supplies or textiles. 

Textiles 

Momentum’s textile products are produced to meet or exceed ACT (Association for Contract Textiles) quality and performance standards. Additional fabric finishes applied to textile products after purchase will void any Momentum warranty. 

We guarantee our textiles will perform in accordance with generally accepted industry standards when used under normal conditions and for the purpose intended: 

  • for a period of three (3) years from date of purchase 

  • High-abrasion fabrics (greater than 50,000 double rubs), we guarantee will perform for five (5) years from the date of purchase. 

  • Our EPU, Clean Vinyl (CV) and Silica Hybrid coated upholstery products, we guarantee will perform for a period of five (5) years from date of purchase. 

  • Our Silica upholstery products, we guarantee will perform for a period of ten (10) years from date of purchase. 

In the unlikely event that one of our products does not perform to commercial standards, when specified for the purpose intended, properly installed, used in a single-shift environment and maintained under normal conditions using appropriate cleaning agents and methods, Momentum will replace said fabrics free of charge, but will not be responsible for any labor costs. 

Certain clothing and accessory dyes (such as those used on denim jeans) may migrate to lighter color products. This phenomenon is increased by humidity and temperature and is irreversible. Momentum will not assume responsibility for dye transfer caused by external contaminants. 

Wallcovering 

Momentum guarantees our wallcovering products will be free from defects in materials and workmanship for five (5) years from the date of shipment. 

Momentum includes an installation instruction and care sheet with each roll of wallcovering sold. If the installation and care sheet does not accompany any wallcovering sold by or for Momentum, contact Momentum before installation commences. In the event Momentum determines that any wallcovering product does not meet any warranty, Momentum will replace such product or at Momentum Textiles' option shall refund the net purchase price (after cash and other discounts). All warranty claims are subject to prorated charges for any service rendered during the warranty period. 

Limitation of Liability 

The warranty set forth above is expressly in lieu of any other warranties, express or implied, including without limitation any warranty of merchantability or fitness for particular purpose, even if such purpose is known to Momentum and in lieu of any other obligations or liability on the part of Momentum. Momentum neither assumes (and has not authorized anyone to assume for it) any other warranty or liability in connection with its products.  

Buyer’s sole remedies with respect to the products are set forth herein. Momentum will have no liability for any consequential, incidental, or special damages by reason of any act or omission arising out of or in connection with its products, or the sale, delivery, installation, maintenance, operation, performance or use of its including (by way of example and not by way of limitation) any damages, expenses, or losses incurred by reason of loss of use, lost revenues, lost profits, damage to associated equipment or to facilities, costs of capital or labor, costs of substitute products or facilities, cost of substitute or replacement products or services, costs associated with loss of goodwill or reputation, costs associated with downtime, damages or replacement costs related to tools, building materials, furnishings, or decorations, and any similar and dissimilar damages, expenses, or losses, whether any such liability is based on contract, tort, or other legal or equitable principles. In no event shall Momentum’s liability exceed the purchase price of the products.  

Testing Information/ Certificates 

Flame retardant certificates, as well as copies of actual test reports (i.e., abrasion, wearability, fire rating) are available, where applicable, upon request. 

Reserve Policy 

Reserves may be placed on existing stock for a product. Reserves will be held for a maximum of seven calendar days and may be extended for an additional seven calendar days. During the second seven calendar days, the reserving customer will have 48 hours to submit a PO if Momentum receives a purchase order from another customer.  

Custom Terms & Conditions 

Orders for custom products require a 50% deposit and cannot be cancelled or returned. Custom orders are subject to minimum yardage requirements and up to 10% overage.
